By accessing or using Reelnote ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of those changes.

2. Description of Service

Reelnote is an AI-powered productivity tool that helps users convert short-form video content (TikToks, Instagram Reels, YouTube Shorts) into actionable checklists and summaries. The Service includes:

  • AI transcription of video audio
  • Automatic extraction of action items and summaries
  • Organization and categorization of processed content
  • Integration with third-party productivity tools (Notion, Todoist, Obsidian)

3. User Accounts & Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

You must be at least 13 years old to use this Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Process copyrighted content that you do not have permission to use
  • Abuse, harass, threaten, or intimidate others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated tools (bots, scrapers) to abuse the Service
  • Resell, redistribute, or sublicense the Service without permission
  • Reverse engineer or attempt to extract the source code of the Service

5. Content & Intellectual Property

5.1 Your Content

You retain ownership of any video links or content you submit to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely to provide the Service (transcription, summarization, etc.).

5.2 Third-Party Content

You acknowledge that when you share links to TikToks, Reels, or Shorts, you are responsible for ensuring you have the right to process that content. Reelnote is not responsible for any copyright infringement claims arising from your use of third-party content.

5.3 Our Intellectual Property

The Service, including its software, design, graphics, and documentation, is owned by Reelnote and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6. Subscription Plans & Billing

6.1 Free Plan

The Free plan allows you to process up to 5 videos per week. We reserve the right to modify or discontinue the Free plan at any time.

6.2 Pro Plan ($10/month)

The Pro plan provides access to unlimited video processing (subject to fair use policy), advanced features, and integrations. Billing is monthly, and charges are non-refundable except as required by law.

6.3 Fair Use Policy

"Unlimited" processing is subject to fair use. If your usage significantly exceeds normal patterns (e.g., processing 1,000+ videos per day), we may contact you to discuss your use case. We reserve the right to suspend accounts that abuse the Service.

6.4 Cancellation & Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months, except where required by law.

7. Service Availability & Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the Service.

8. Third-Party Integrations

The Service may integrate with third-party platforms (Notion, Todoist, Obsidian, TikTok, Instagram). Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELNOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Reelnote and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease. We may delete your data after account termination.

13. Governing Law & Dispute Resolution
